1. Terms of Use and Scope

This agreement (the “Terms of Use”) that has been prepared by D Et ve Et Ürünleri Gıda Pazarlama Tic. A.Ş. applies to your access to and/or your use of the website “Nusr-Et Website” available at www.nusr-et.com.tr. For the purpose of these Terms of Use, the term “Nusr-Et” means the respective Nusr-Et business enterprise that serves you in the country you reside in. Please see the “Annex-1” hereto for the list of the Nusr-Et business enterprises that serve you.

A user, who may wish to access and use of the Nusr-Et Website, (the “User”) is required to carefully read the entire text of these Terms of Use. The user is allowed to access and use of the Nusr-Et Website only if they have agreed these Terms of Use listed below. By accessing and/or using the Nusr-Et Website, you and/or the legal entity that you are authorized to represent are considered to have agreed to be bound by the requirements as set forth under these Terms of Use.

2. Update of the Terms of Use

Nusr-Et reserves the right to update or revise these Terms of Use. In the capacity of user, you agree that you will review the Terms of Use on a regular basis. You are free to agree or refuse an amended version of these Terms of Use, you are required, however, to agree on the amended version of these Terms of Use so that you will be able to continue accessing and using the Nusr-Et Website. In case you do not agree the provisions as set forth under these Terms of Use or refuse an amended version of these Terms of Use, then you will be required to cease your access to/your use of the Nusr-Et Website, and in this case, you will not be able to access your accounts (if any) on the Nusr-Et Website.

3. Information You Submit Through the Nusr-Et Website

The information you submit through the Nusr-Et Website is under the scope of these Terms of Use. You agree, represent and warrant that the information you submit through the Nusr-Et Website is accurate and complete, and you will edit and update this information when it is necessary.

Concerning the persons, whose personal information has been submitted by you to Nusr-Et so that they could make use of a service, including the booking services, through the Nusr-Et Website, you agree, represent and warrant that you are authorized to submit this information, and you have informed them and obtained their consents so that the Nusr-et Website is entitled to process the information of these third parties. 5. Intellectual Property Rights

All the industrial property rights in connection with the contents of the Nusr-Et Website belongs to Nusr-Et, its affiliates or the respective third parties. The copyrights of the contents, objects and trade dresses provided by Nusr-Et are protected under the applicable laws and, the copying and/or imitation of these contents, objects and trade dresses are strictly prohibited.

All the elements available on the Nusr-Et Website including but without limited to the commercial appearances, designs, texts and images, as well as the respective real and personal rights, and all the rights for commercial knowledge and know-how belong to Nusr-Et or its affiliates or other legal entities that provide Nusr-Et with the right and license to use such contents, and these may not be used or not intervened with in any manner whatsoever without an explicit and written permission of Nusr-Et.

Unless explicitly permitted under the scope of these Terms of Use, no object that is made available on the Nusr-Et Website may be copied, reproduced, changed, leased, borrowed, sold, derived from, transferred or distributed without a written permission of Nusr-Et. Unless otherwise explicitly indicated under the scope of these Terms of Use or of any agreement concluded with Nusr-Et, the User is not granted any partial or full right in connection with the intellectual property rights of Nusr-Et or the intellectual property rights owned by a third party.

6. Restrictions on Use of the Nusr-Et Website

In addition to the restrictions as specified under these Terms of Conditions, you agree, represent and warrant that you will act in compliance with the following restrictions when you use the Nusr-Et Website.

i. The source of the information transferred and referred from the Nusr-Et Website should not be hidden.

ii. There should be no inaccurate or misleading information posted on the areas within the Nusr-Et Website allocated for the Users, where the Users are allowed to share their experience and reviews.

iii. It is forbidden to intervene in the Nusr-Et Website through a virus or any harmful software, and install any malicious code thereon.

iv. It is forbidden to illegally access the personal data of any third party and/or process the personal data belonging to any third party from the Nusr-Et Website.

v. It is forbidden to use the Nusr-Et Website in a way that would negatively affect the performance or operation of the Nusr-Et Website or in a way that would prevent authorized persons from accessing the Nusr-Et Website.

You agree that Nusr-Et may at its own discretion terminate or suspend at any time your use of and access to Nusr-Et Website for any reason whatsoever even when the others could maintain their right to use of and access the Nusr-Et Website. In case of such a termination or suspension, you are expected and required to immediately cease your use of and access to the Nusr-Et Website and, destroy all the copies, if any, that you may have made from any content of the Nusr-ET Website. Further, you agree that Nusr-Et would not be held responsible towards you or any third party for its termination or suspension of your use of and access to the Nusr-Et Website.

9. Responsibility

The User, who makes use of the services offered by Nusr-Et, agrees that the User will use the Nusr-Et Website in accordance with the applicable law and the intended use thereof and, that the User will be legally responsible for any action that the User takes on the Nusr-Et Website. Nusr-Et may not be held responsible directly or indirectly for any transaction, action and/or activity of the User through and/or within the scope of the Nusr-Et Website in a way that is against the provisions of these Terms of Use and the applicable law.

Nusr-Et will not be held responsible for its failure to fulfill its obligations in case that the User is not able to make use of the services due to technical problems, and in this case, no claim will be made to Nusr-Et in any manner whatsoever.

The User will be exclusively responsible for any type of content provided by the User on the Nusr-Et Website. As the User, you agree, represent and warrant that any content you post on the website is in accordance with the applicable law, does not violate any right including an intellectual property right of a third party, and that you have all the rights and powers as may be required to provide such content.

10. Applicable Law and Jurisdiction

The pertinent provisions of the [Turkish Law] will apply to the enforcement and interpretation of these Terms of Conditions and, the management of the legal relationships that may arise therefrom. In case of any dispute that may arise from or in connection with these Terms of Use, the [Istanbul Courts and Enforcement Offices] will be competent.
